End User Licence Agreement

PLEASE READ THIS LICENSE AGREEMENT CAREFULLY BEFORE USING ANY SOFTWARE OR ‘APPS’ PROVIDED BY FREEAIM TECHNOLOGIES LTD. BY CLICKING THE “AGREE” OR “CONTINUE” BUTTON DURING INSTALLATION, OR BY USING THE MOBILE APPLICATION, PC SOFTWARE OR ‘VR SHOES’ HARDWARE (THE ‘PRODUCT’), YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS LICENSE. IF YOU DO NOT AGREE WITH ALL THE TERMS AND CONDITIONS OF THIS LICENSE OR DO NOT AGREE TO BE BOUND BY THIS LICENSE, PLEASE CLICK THE “DISAGREE” OR “CANCEL” BUTTON DURING INSTALLATION AND IT WILL BE CANCEL THE INSTALL. THE VR SHOES HARDWARE WILL NOT FUNCTION WITHOUT THE LICENCED SOFTWARE / APPS.

 

THERE ARE IMPORTANT HEALTH AND SAFETY WARNINGS AND INSTRUCTIONS, AVAILABLE HERE, THAT YOU MUST READ BEFORE USING THE VR SHOES PRODUCT (SOFTWARE OR HARDWARE). BY USING THE PRODUCT, YOU REPRESENT AND WARRANT THAT YOU HAVE READ AND UNDERSTAND THE INSTRUCTIONS. IF YOU PERMIT ANYONE ELSE OTHER THAN YOU TO USE THE PRODUCT, YOU REPRESENT AND WARRANT THAT YOU WILL INFORM THEM OF THESE INSTRUCTIONS AND ENFORCE THAT THEY ADHERE TO THEM.

 

1.0 General

  1. Freeaim Technologies Ltd (“Freeaim”, “we” or “us”) provides Freeaim VR Shoes and accessories (the “Product”) which is a wearable hardware device designed to simulate physical walking in VR. The VR Shoes are similar in nature to a VR omni-directional treadmill, or ‘VR Treadmill’, but different in that the electro-mechanical technology is built into a shoe-like device, and provided with supporting hardware accessories to provide ‘body support’. The VR Shoes, accessories and software/apps must be used in accordance with Health And Safety Warnings And Instructions, which are available Here. You acknowledge that the VR Shoes product is a physical hardware device, and using the VR Shoes requires physical exercise, and that there are risks which we make you aware of in the Heath and Safety Warnings, and Instructions.

  2. Unless a Freeaim VR Shoes Commercial Use Licence has been provided or purchased, the VR Shoes product (Hardware and Software) to be used solely for personal and non-commercial use, as demonstrated and in accordance with accompanying Instructions, tutorials / guide videos, and Heath and Safety Warnings, as well stated requirements for the weight and height of the user, and any other stated limitations on physical ability and health . Under no circumstances is the VR Shoes product to be used for commercial entertainment use, or any other non-consumer use case. 

  3. The VR Shoes product is for adult use only, under no circumstances are You (End-User) or any other person, permitted to use the product if under the age of 16 (sixteen). You or anyone else you permit to use the Product agree to comply with any physical limitations (such as User Weight), age requirements, or any other Instructions that we (Freeaim) provide to you, and not to use the product in any way not demonstrated or described by us. 

  4. The Freeaim software consists of a Mobile Application (“App”) (Android & iPhone versions) and PC software: SteamVR Driver and Firmware/Software Updater. This software is licensed to You (End-User) by Freeaim Technologies Ltd, located and registered at 45 Little Reeves Avenue, Amersham, HP7 9JB, England ('Licensor'), for use only under the terms of this Licence Agreement. Our VAT number is GB448783542.

  5. By downloading the Licensed Applications, including the SteamVR Driver Firmware/Software Updater and Mobile App from Apple's software distribution platform ('App Store') and Google's software distribution platform ('Play Store'), and any update thereto (as permitted by this Licence Agreement), You indicate that You agree to be bound by all of the terms and conditions of this Licence Agreement, and that You accept this Licence Agreement. App Store and Play Store are referred to in this Licence Agreement as 'App Services'.

  6. The parties of this Licence Agreement acknowledge that the App Services are not a Party to this Licence Agreement and are not bound by any provisions or obligations with regard to the Licensed Applications, such as warranty, liability, maintenance and support thereof. Freeaim Technologies Ltd, not the App Services, is solely responsible for the Licensed Applications and the content thereof.

  7. This Licence Agreement may not provide for usage rules for the Licensed Applications that are in conflict with the latest Apple Media Services Terms and Conditions and Google Play Terms of Service ('Usage Rules'). Freeaim Technologies Ltd acknowledges that it had the opportunity to review the Usage Rules and this Licence Agreement is not conflicting with them.

  8. The Freeaim Mobile App when purchased or downloaded through the App Services, is licensed to You for use only under the terms of this Licence Agreement. The Licensor reserves all rights not expressly granted to You. The Freeaim Mobile App is to be used on devices that operate with Apple's operating systems ('iOS' and 'Mac OS') or Google's operating system ('Android'). 

  9. The Freeaim PC software: SteamVR Driver and Firmware/Software Updater is to be used on any Windows based PC with SteamVR installed as a pre-requisite for Freeaim’s SteamVR Driver.

 

2.0 The Application

  1. The Freeaim Software (the 'Licensed Applications') is software created to connect to, monitor and control Freeaim VR Shoes, and allow its integration with SteamVR. The Mobile App is customised for iOS and Android mobile devices ('Devices'). It is used to view and manage the settings and status of the Freeaim VR shoes.

  2. The Licensed Applications are not tailored to comply with industry-specific regulations (Health Insurance Portability and Accountability Act (HIPAA), Federal Information Security Management Act (FISMA), etc.), so if your interactions would be subjected to such laws, you may not use the Licensed Applications. You may not use the Licensed Applications in a way that would violate the Gramm-Leach-Bliley Act (GLBA).

 

3.0 Scope Of Licence

  1. Freeaim’s Licensed Applications are required in order to use the VR Shoes Product, meaning that use of the SteamVR Driver PC Software and/or the Mobile App is required to enable the VR Shoe hardware and to use it to its fullest extent.

  2. You are given a non-transferable, non-exclusive, non-sublicensable licence to install and use the Licensed Applications on any Devices that You (End-User) own or control and as permitted by the Usage Rules, with the exception that such Licensed Applications may be accessed and used by other accounts associated with You (End-User, The Purchaser) via Family Sharing or volume purchasing.

  3. This licence will also govern any updates of the Licensed Applications provided by Licensor that replace, repair, and/or supplement the first Licensed Applications, unless a separate licence is provided for such update, in which case the terms of that new licence will govern.

  4. You may not share or make the Licensed Applications available to third parties (unless to the degree allowed by the Usage Rules, and with Freeaim Technologies Ltd's prior written consent), sell, rent, lend, lease or otherwise redistribute the Licensed Applications.

  5. You may not reverse engineer, translate, disassemble, integrate, decompile, remove, modify, combine, create derivative works or updates of, adapt, or attempt to derive the source code of the Licensed Applications, or any part thereof (except with Freeaim Technologies Ltd's prior written consent).

  6. You may not copy (excluding when expressly authorised by this licence and the Usage Rules) or alter the Licensed Applications or portions thereof. You may create and store copies only on devices that You own or control for backup keeping under the terms of this licence, the Usage Rules, and any other terms and conditions that apply to the device or software used. You may not remove any intellectual property notices. You acknowledge that no unauthorised third parties may gain access to these copies at any time. If you sell your Devices to a third party, you must remove the Licensed Applications from the Devices before doing so.

  7. Violations of the obligations mentioned above, as well as the attempt of such infringement, may be subject to prosecution and damages.

  8. Licensor reserves the right to modify the terms and conditions of licensing.

  9. Nothing in this licence should be interpreted to restrict third-party terms. When using the Licensed Applications, You must ensure that You comply with applicable third-party terms and conditions.

 

4.0 Technical Requirements

  1. The Licensed Applications require a firmware version 1.0.0 or higher. Licensor recommends using the latest version of the firmware.

  2. Licensor attempts to keep the Licensed Applications updated so that it complies with modified/new versions of the firmware and new hardware. You are not granted rights to claim such an update.

  3. You acknowledge that it is Your responsibility to confirm and determine that the app end-user device on which You intend to use the Licensed Applications satisfies the technical specifications mentioned above.

  4. Licensor reserves the right to modify the technical specifications as it sees appropriate at any time.

  5. The Freeaim SteamVR Driver requires a Windows 10/11 PC capable of running VR with SteamVR installed. For further details on installation see the User Instructions. 

 

5.0 Maintenance And Support

  1. The Licensor is solely responsible for providing any maintenance and support services for the Licensed Applications. You can reach the Licensor at the email address listed in the App Store or Play Store Overview for the Freeaim Mobile App.

  2. Freeaim Technologies Ltd and the End-User acknowledge that the App Services have no obligation whatsoever to furnish any maintenance and support services with respect to the Licensed Applications.

 

6.0 Use Of Data

  1. You acknowledge that Licensor will be able to access and adjust Your downloaded Licensed Applications content and Your personal information, and that Licensor's use of such material and information is subject to Your legal agreements with Licensor and Licensor's privacy policy: https://www.freeaim.com/privacy-policy.

  2. You acknowledge that the Licensor may periodically collect and use technical data and related information about your device, system, and application software, and peripherals, offer product support, facilitate the software updates, and for purposes of providing other services to you (if any) related to the Licensed Applications. Licensor may also use this information to improve its products or to provide services or technologies to you, as long as it is in a form that does not personally identify you.

 

7.0 User-Generated Contributions

The Licensed Applications do not allow users to submit or post content.

8.0 Contribution Licence

 

  1. You agree that we may access, store, process, and use any information and personal data that you provide following the terms of the Privacy Policy and your choices (including settings).

  2. By submitting suggestions of other feedback regarding the Licensed Applications, you agree that we can use and share such feedback for any purpose without compensation to you.

  3. We do not assert any ownership over your Contributions. You retain full ownership of all of your Contributions and any intellectual property rights or other proprietary rights associated with your Contributions. We are not liable for any statements or representations in your Contributions provided by you in any area in the Licensed Applications. You are solely responsible for your Contributions to the Licensed Applications and you expressly agree to exonerate us from any and all responsibility and to refrain from any legal action against us regarding your Contributions.

 

9.0 Liability

  1. To the extent permitted by law, Freeaim, our employees, directors and third parties connected to us hereby expressly exclude:

    1. All conditions, warranties and other terms which might otherwise be implied by statute, common law or the law of equity; and

    2. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ANY LIABILITY FOR PERSONAL INJURY, OR ANY DIRECT, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF YOUR USE, OR USE BY OTHER USERS PERMITTED BY YOU (‘THEIR USE’), OR INABILITY TO USE, THE FREEAIM VR SHOES PRODUCT (BOTH HARDWARE AND SOFTWARE/APPS) INCLUDING PROTOTYPE /  BETA VERSIONS, including, without limitation, any liability for (i) loss of income or revenue; (ii) loss of business; (iii) loss of profits or contracts; (iv) loss of anticipated savings; (v) loss of data; (vi) loss of goodwill; (vii) wasted management or office time; and (viii) for any other loss or damage of any kind, however arising and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable.
      SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR DEATH, PERSONAL INJURY, OR OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION MAY NOT APPLY TO YOU.

    3. OUR LIABILITY, IF ANY, SHALL IN NO CIRCUMSTANCES EXTEND TO UNAUTHORIZED COMMERCIAL USE OF THE VR SHOES PRODUCT OR TO ANY THIRD PARTIES. YOU AGREE THAT TOTAL LIABILITY TO YOU OR TO OTHER USERS PERMITTED BY YOU, FOR ALL CLAIMS, IN THE AGGREGATE, SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU TO FREEAIM.

  2. The above provisions apply to all claims for damages, regardless of their legal cause, except for claims for damages in the event of (a) death or personal injury arising from our negligence, (b) fraudulent misrepresentation or misrepresentation as to a fundamental matter, (c) an explicit assumption of a guarantee (in which case Freeaim Technologies shall be liable within the scope of the guarantee assumed), and (d) violations of applicable mandatory provisions of product liability laws.

  3. Licensor's responsibility in the case of violation of obligations and tort shall be limited to intent and gross negligence. In any case, liability shall be limited to the foreseeable, contractually typical damages.

  4. Licensor takes no accountability or responsibility for any damages caused due to a breach of duties according to Section 3 of this Licence Agreement.

 

10.0 Health And Safety Warnings

  1. You agree to read the Heath and Safety Warnings, and User Instructions before using the VR Shoes. PLease also refer to the Guide Videos / Tutorials provided. Please Contact Us if you require any additional help and advice.

  2. You agree that You or any other user will not use the VR Shoes Product if you or they are pregnant, intoxicated, sick / unwell in any way, or have a disability that would make using the VR Shoes unsafe. You acknowledge and agree that the Product is only permitted for healthy & physically fit users over the age of 16 who have a weight of no more than 100 Kg, or approx. 220 lbs. If there is any doubt over health and/or physical suitability, You or they should consult a physician or general practitioner before using the Product. You acknowledge that using the VR Shoes product requires moderate physical activity, good balance, and walking ability, and If you or they encounter any health related issues, discomfort or pain, You agree to stop using the Product immediately and contact Freeaim for help and advice. You also agree to supervise and monitor any other users that you permit to use the VR Shoes, and that You must stop them should they encounter any issues.

  3. You agree to never allow other people (particularly children and pets) in the immediate vicinity of the Product while you or any other user are using the Product. You understand that people or animals could be struck with a VR Shoe or VR Controller or possibly some other part of the Product’s Accessories. 

  4. You agree to follow the User Instructions and in accordance with it, You must check the VR Shoes hardware before each use for any signs of damage, excess dirt ingress, or abnormality, and discontinue use if any issues are identified. For routine serviceability checks and cleaning requirements, please see the User Instructions. You agree to always use the included Product Accessories and use them as instructed, this may include a Handrail-like Frame, or a Frame with a Belt or Harness, and a Floor Mat. Failure to comply with this requirement may lead to unsafe conditions, and/or unexpected performance.

11.0 Warranty

  1. Licensor warrants that the Licensed Applications is free of spyware, trojan horses, viruses, or any other malware at the time of Your download. Licensor warrants that the Licensed Applications works as described in the User Instructions.

  2. No warranty is provided for the Licensed Applications that is not executable on the device, that has been unauthorisedly modified, handled inappropriately or culpably, combined or installed with inappropriate hardware or software, used with inappropriate accessories, regardless if by Yourself or by third parties, or if there are any other reasons outside of Freeaim Technologies Ltd's sphere of influence that affect the executability of the Licensed Applications.

  3. You are required to inspect the Licensed Applications immediately after installing it and notify Freeaim Technologies Ltd about issues discovered without delay by email provided in Contact Information (Section 14). The defect report will be taken into consideration and further investigated if it has been emailed within a period of ninety (90) days after discovery.

  4. If we confirm that the Licensed Applications are defective, Freeaim Technologies Ltd reserves a choice to remedy the situation either by means of solving the defect or substitute delivery.

  5. In the event of any failure of the Licensed Applications to conform to any applicable warranty, You may notify the App Services Store Operator, and Your Licensed Applications purchase price will be refunded to You. To the maximum extent permitted by applicable law, the App Services Store Operator will have no other warranty obligation whatsoever with respect to the Licensed Applications, and any other losses, claims, damages, liabilities, expenses, and costs attributable to any negligence to adhere to any warranty.

  6. If the user is an entrepreneur, any claim based on faults expires after a statutory period of limitation amounting to six (6) months after the Licensed Applications was made available to the user. The statutory periods of limitation given by law apply for users who are consumers.

 

12.0 Product Claims

Freeaim Technologies Ltd and the End-User acknowledge that Freeaim Technologies Ltd, and not the App Services, is responsible for addressing any claims of the End-User or any third party relating to the Licensed Applications or the End-User’s possession and/or use of the Licensed Applications, including, but not limited to:

 

  1. Product liability claims;

  2. Any claim that the Licensed Applications fail to conform to any applicable legal or regulatory requirement.

 

13.0 Legal Compliance

You represent and warrant that You are not located in a country that is subject to a US Government embargo, or that has been designated by the US Government as a 'terrorist supporting' country; and that You are not listed on any US Government list of prohibited or restricted parties.

15.0 Termination

The licence is valid until terminated by Freeaim Technologies Ltd or by You. Your rights under this licence will terminate automatically and without notice from Freeaim Technologies Ltd if You fail to adhere to any term(s) of this licence. Upon Licence termination, You shall stop all use of the Licensed Applications, and destroy all copies, full or partial, of the Licensed Applications.

 

16.0 Third-Party Terms Of Agreements And Beneficiary

  1. Freeaim Technologies Ltd represents and warrants that Freeaim Technologies Ltd will comply with applicable third-party terms of agreement when using Licensed Applications.

  2. In Accordance with Section 9 of the 'Instructions for Minimum Terms of Developer's End-User Licence Agreement', both Apple and Google and their subsidiaries shall be third-party beneficiaries of this End User Licence Agreement and — upon Your acceptance of the terms and conditions of this Licence Agreement, both Apple and Google will have the right (and will be deemed to have accepted the right) to enforce this End User Licence Agreement against You as a third-party beneficiary thereof.

 

17.0 Intellectual Property Rights

Freeaim Technologies Ltd and the End-User acknowledge that, in the event of any third-party claim that the Licensed Applications or the End-User's possession and use of the Licensed Applications infringes on the third party's intellectual property rights, Freeaim Technologies Ltd, and not the App Services, will be solely responsible for the investigation, defence, settlement, and discharge or any such intellectual property infringement claims.

 

18.0 Applicable Law

This Licence Agreement is governed by the laws of England and Wales, English law, excluding its conflicts of law rules.

 

19.0 Miscellaneous

  1. If any of the terms of this agreement should be or become invalid, the validity of the remaining provisions shall not be affected. Invalid terms will be replaced by valid ones formulated in a way that will achieve the primary purpose.

  2. Collateral agreements, changes and amendments are only valid if laid down in writing. The preceding clause can only be waived in writing. 

 

20.0 Additional Terms

These Terms of Use are in addition to, and do not replace or change, this agreement or any other agreements you enter into with us. If you purchase physical goods from us, such as the VR Shoes Product and Accessories,, the Terms of Sale for such purchase will also apply.
